Terms of Sale (ToS)
1. Preamble and Scope
These General Terms and Conditions of Sale (GTCS) govern the sale of timing licenses offered by ChronoKey on the ChronoKey platform (hereinafter “the Platform”).

By placing an order, the Client (hereinafter "the Organizer" or "the Client") unconditionally accepts these Terms of Sale. Any order implies acceptance of the Terms of Sale in force on the date of the order.
2. Purpose: sale of timing licenses
ChronoKey sells timing licenses in the form of digital keys (hereinafter « Keys » or « Licenses »). These Keys enable the timing features of the Platform for an Event as defined below.
2.1 Definitions
- Event: Reference unit for Key usage. An Event corresponds to a sporting competition (road race, trail, etc.) defined on the Platform, with a start and end date, a location, and which may group one or more races. A Key is valid for a single Event, regardless of the number of races, waves, or participants within that Event.
- Race: Race or heat belonging to an Event (e.g.: main race, child race, wave start). Multiple races can be organized within the same Event; a single Key covers the entire Event.
- Key (License): Unique identifier issued after purchase, in the format defined by ChronoKey (e.g. PLAN-XXXXX-XXXXX-XXXXX). The Key is provided electronically and must be entered and validated on the Platform to be linked to an Event.
2.2 Key Usage
- One Key = one Event only. Once a Key is associated with an Event, it can only be used for that Event until its end or cancellation (see article 6).
- The number of participants, races, and checkpoints allowed depends on the license plan attached to the Key (limits defined in the offer at the time of purchase).
3. Key Validity
- The Key is valid for 365 days (one year) from its activation (generally at first use on an Event, unless otherwise specified in the offer).
- After this period, the Key expires and can no longer be used for a new Event. Data and results from Events already completed remain accessible according to the Platform rules and Terms of Use.
4. Pricing, Order and Payment
- Prices are shown in euros, excluding all taxes. ChronoKey operates under the VAT small business exemption scheme (article 293 B of the French Tax Code): VAT is neither applicable nor invoiced, and displayed amounts are final.
- The order is considered firm after payment validation and sending of the Key (or making it available on the Platform).
- Accepted payment methods are those offered on the site or Platform at the time of order.
5. Right of Withdrawal
In accordance with article L. 221-28 of the Consumer Code, the Client expressly waives their right of withdrawal once the digital Key has been delivered, the performance of the contract having begun immediately with their agreement.
As a result, no refund will be issued under the right of withdrawal after the Key has been delivered.
6. Event Cancellation and Key Reuse (goodwill gesture)
In case of Event cancellation by the Organizer (before any races have been started or finished), ChronoKey allows the Key to be unlinked from that Event so the Organizer can reuse the same Key for another future Event, within the Key's validity period (365 days from activation).
This arrangement constitutes a contractual goodwill gesture and may not be invoked as an unconditional right in the event of repeated cancellations or abusive use.
7. Liability and warranties
- ChronoKey's liability is strictly limited to the amount actually paid by the Organizer for the Key in question.
- ChronoKey excludes all liability for: indirect damages (loss of revenue, loss of reputation, claims from riders or third parties, moral damages, etc.); malfunctions attributable to hardware, connectivity, or the use of the Platform by the Organizer or their volunteers (see T&C).
- Statutory warranties (conformity, hidden defects) apply under French law; compensation shall in no event exceed the amount actually paid for the license.
8. Applicable Law and Disputes
- These Terms and Conditions of Sale are governed by French law.
- For any dispute regarding the interpretation or enforcement of these terms, the courts of the jurisdiction of ChronoKey's registered office (competent courts: Moulins / Vichy) shall have sole jurisdiction, notwithstanding multiple defendants or warranty claims.

Terms of Use (ToU)
1. Preamble and Acceptance
These General Terms of Use (GTU) govern access to and use of the ChronoKey platform (hereinafter “the Platform”) offered by: Antoine Deshayes, sole trader — SIRET 99934539000010 — 16 Route de Blénières, 03150 Langy, France — trading under the name ChronoKey.
Accessing and using the Platform implies unreserved acceptance of these Terms of Use. They complement the General Terms and Conditions of Sale (GTC) when the User has acquired a timing license.
2. Definitions and Stakeholders
- Organizer: Association or entity that creates an Organization on the Platform, creates Events and races, and uses timing tools (possibly under license). The Organizer is responsible for complying with applicable laws and respecting the rights of participants and volunteers.
- Organization: Entity created on the Platform by an Organizer (owner), which can group several administrators and multiple Events.
- Event: Sporting competition defined on the Platform, covered by a license or in demo mode, and which may contain one or more races.
- Race: Heat or course within an Event (mass start, wave start, or individual start).
- Participant: Person registered by the Organizer for a race (data: last name, first name, gender, date of birth, bib number, etc.).
- Volunteer: A person with temporary access (link or token) to record check-ins at one or more checkpoints, without a regular user account.
- GPS self check-in: Optional feature that the Organizer can enable on one or more checkpoints. When enabled, the Participant can validate their own passage from their personal space; the server then verifies that the GPS position of their device at the time of validation is within the checkpoint perimeter (radius in meters configured by the Organizer). No QR code scan is required on the participant's side.
- Participant access code: Personal and confidential link and access code sent to the Participant by email. They provide access to their personal space and, if the Organizer has enabled GPS self check-in, validate passages. This access code is strictly personal and must not be shared.
3. Registration and Organizer Account
- The Organizer creates a user account (portal) then an Organization (name, contact details, logo, etc.). They can invite other users to join the Organization using an invitation code.
- The Organizer undertakes to provide accurate information and to maintain the confidentiality of their credentials. ChronoKey does not carry out prior verification of the legal status of Organizations; the creation and management of Organizations are the sole responsibility of users.
- ChronoKey reserves the right to suspend or delete an account in the event of a breach of these T&C or applicable regulations.
4. Material and Technical Liability
ChronoKey provides only the software (timing Platform) and its hosting as part of the described service.
The Organizer is solely responsible for:
- of the equipment used to access the Platform and to record check-ins (smartphones, tablets, computers);
- of the Internet connection of volunteers and the workstations used during the Event;
- of volunteer training and proper use of the interfaces (entering check-ins, following procedures).
Outages, network failures, or equipment or connection failures of Organizers or volunteers shall not engage ChronoKey’s liability. In the event of data loss attributable to the Organizer’s hardware or connection, ChronoKey shall not be held liable.
4.2 GPS Self Check-In Feature and Geolocation
The Organizer who enables GPS self check-in on one or more checkpoints is solely responsible:
- of the exact entry of GPS coordinates (latitude / longitude) for each checkpoint and the acceptance radius in meters;
- of the consistency of this perimeter with the actual terrain (GPS signal available, reasonable margin for natural inaccuracy of consumer-grade sensors);
- of the secure transmission of the personal access link to each relevant Participant, at an email address they provided;
- of the manual verification of check-ins marked "suspicious" before publishing the final results;
- of prior notification to participants regarding the one-time collection of their geolocation at the time of validating a passage, in accordance with GDPR.
ChronoKey provides anomaly detection mechanisms (check-in outside GPS zone, insufficient accuracy, clock drift between client and server, passage order not respected) for informational purposes. These indicators do not constitute an absolute guarantee of integrity and shall not render ChronoKey liable in the event of undetected fraud.
6. Data Ownership and Use by ChronoKey
- The results and data (participants, times, rankings, lists, exports) generated within Events created by the Organizer remain the Organizer's property and are their responsibility as Data Controller.
- ChronoKey reserves the right to use data for statistical and service improvement purposes, in anonymized and aggregated form (no reuse of personally identifiable data for purposes other than service delivery).
7. Availability and Support (Assistance)
7.1 Service Availability (Uptime)
ChronoKey strives to ensure Platform availability 24/7, except during maintenance periods or technical incidents beyond its control. ChronoKey does not guarantee the absence of interruptions, slowdowns or temporary unavailability. Organizers are encouraged to anticipate critical periods (race day) and to verify access to the necessary tools in advance.
7.2 Technical Support
Support is provided exclusively by email at contact@chronokey.fr. ChronoKey is committed to responding as quickly as possible, including on weekends during events, on a best-efforts basis. No fixed response time is guaranteed.
8. Acceptable Use and Prohibitions
The User undertakes to:
- Use the Platform in accordance with its purpose (timing of sporting events) and applicable laws.
- Not to attempt to circumvent technical or contractual limits (licenses, quotas).
- Not to compromise the security of the service (unauthorized access, abusive scripts, deliberate API flooding, etc.).
- Not to publish unlawful, defamatory, or third-party-rights-infringing content.
8.1 Specific Prohibitions for GPS Self Check-In
In the context of the GPS self check-in feature, the following are strictly prohibited:
- from sharing their personal access link or token with a third party — this token is strictly personal and for exclusively personal use;
- from validating a passage from a location other than the relevant checkpoint (for example from home, from another point on the course, or via the device of a third party present at a checkpoint);
- from manipulating the clock on their device or using any GPS coordinate simulation tool (GPS spoofing) in order to falsify a split time or a position;
- from attempting to bypass the verifications put in place by the Platform (GPS radius, passage order, timestamp gap, check-in signature).
These behaviors constitute sporting fraud and may result in exclusion from the event by the Organizer, without prejudice to legal proceedings.
Any breach of these rules may result in the suspension or termination of the account and access, without prejudice to legal remedies.
9. Service and Terms of Use Updates
ChronoKey may update the Platform's features and these T&C. Changes to the T&C will be communicated to users (published on the Platform or sent as a notice). Continued use after the new T&C go live constitutes acceptance. If you disagree, you may stop using the service and close your account.
10. Applicable Law and Disputes
- These Terms of Use are governed by French law.
- For any dispute regarding the interpretation or enforcement of these terms, the courts of the jurisdiction of ChronoKey's registered office (competent courts: Moulins / Vichy) shall have sole jurisdiction, notwithstanding multiple defendants or warranty claims.
